Thursday, 20th December 2018, Ljubljana Gorenje divests its subsidiary Gorenje Surovina

Pursuing its strategy of focusing on the core activity of manufacturing and marketing domestic appliances, Gorenje Group continues to divest select subsidiaries active in its non-core businesses. Thus, we signed today with the company Eko Surovina, owned by the company Rastoder d.o.o., an agreement to sell the 100-percent ownership share in the company Gorenje Surovina and its subsidiaries.

Monday, 5th November 2018, Beijing Gorenje launches its premium appliances on the Chinese market

Gorenje, recently becoming part of Hisense Group, is now launching their premium appliances on the Chinese market. At today’s launch in Beijing they presented a comprehensive range of products to the Chinese customers, retailers and media. Their motto being Life Simplified, Gorenje delivers simple, intuitive solutions that help their users reduce complexity, save time and make their daily lives a little smoother.

Friday, 28th September 2018, Brdo pri Kranju "Innovation Oscar" for two Gorenje Group innovations

At the 2018 Innovation Day, Gorenje Group was again among the winners at this year's national award ceremony for the most innovative enterprises and individual innovators. We won the golden national award by the Slovenian Chamber of Commerce and Industry for our new generation of premium washing machines and dryers Asko, and the silver award for the new generation of Gorenje cookers.

At the correspondence session of the Gorenje, d. d., Supervisory Board, Yeguo Tang was appointed Supervisory Board chairman, while Shaoqian Jia was appointed deputy chairman.

Monday, 17th September 2018, Velenje Gorenje shareholders in favour of minority shareholder squeeze-out

At the 27th Shareholders Assembly of the company Gorenje d.d., at which 96.19 percent of all shares were represented, the shareholders supported the squeeze-out of minority shareholders, which means a transfer of the remaining GRVG shares currently not yet held by the company Hisense Luxembourg Home Appliance Holding to this majority shareholder, while the remaining minority shareholders shall receive a compensation of EUR 12 per share. The shareholders also voted in favour of the appointment of seven Supervisory Board members representing capital.

Thursday, 30th August 2018, Berlin At the IFA 2018, Gorenje Group unveils products and digital solutions for smart and simplified life

Gorenje Group is proudly presenting its latest achievements in the appliance segment at the IFA 2018 taking place from August 31 to September 5 in Berlin, Germany. This makes it the 11th year in a row for Gorenje at the IFA, one of the leading consumer electronics fairs in the world, which attracts over 250 thousand visitors each year. The Group will use its presence at the fair to showcase an array of product novelties and offer the first glimpse of its soon-to-be-available range of digital services, namely the Gorenje ConnectLife platform, and a range of connected appliances.

Wednesday, 29th August 2018, Velenje Franjo Bobinac appointed Vice President for Marketing of Hisense International

The President of the Management Board of Gorenje Franjo Bobinac was appointed Vice President for Marketing of Hisense International by the Management Board of Hisense Group. Bobinac remains President of Gorenje Management Board but will also be responsible for Global Marketing of Hisense International, the corporation that covers all international activities of Hisense Group.

Friday, 24th August 2018, Velenje Gorenje's own brand sales up in the first half of 2018

In the first half of 2018, Gorenje Group generated EUR 602.3 million of sales revenue, which is, on comparable terms (after elimination of revenue from coal trade operations divested at the end of 2017), on a par with the figure for the last year's equivalent period. We generated nearly 84 percent of sales revenue in our core activity of Home Appliances (EUR 504.5 million). Revenue from sales under our own brands increased by 3.2 percent while revenue from OEM deals was down. Consistently with our strategy, we continue to boost sales of premium products under the Asko brand and invest in new product development and marketing activities. Hisense Group announced its takeover bid and completed the acquisition of – combined with previously acquired shares – a total of 95.42 shares of the company Gorenje.

Gorenje, d. d., has received resignation letters from Supervisory Board members Bernard C. Pasquier, Bachtiar Djalil, Corinna Claudia Graf and Miha Košak. Their resignations are effective from the date of the next Shareholders Assembly Meeting of the company.

Thursday, 16th August 2018, Velenje Gorenje expands management board with six new members

The Supervisory Board of Gorenje has, following a proposal by the President of the Management Board of Gorenje Franjo Bobinac, expanded the management board to 12 members. Current members will be joined by six new members, that will use their knowledge and skills to accelerate the effective usage of all synergies, arising from the strategic partnership between the Hisense and Gorenje Groups. Their appointment is effective August 16, 2018, while they will execute their mandate on the territory of the Republic of Slovenia in-line with their individual valid work permits, other appropriate permissions or visas.

Thursday, 9th August 2018, Velenje, Slovenia Information on the publication of decision, based on Article 6(1)(b) of European Council Merger Regulation The European Commission has announced, that it has on August 6, 2018, issued a decision regarding the proposed concentration between Hisense Group and Gorenje Group based on Article 6(1)(b) of The European Council Merger Regulation. From the decision it follows, that the European Commission established, that the proposed concentration is in line with the joint market and will not be objected.

Tuesday, 3th July 2018, Velenje Securities Market Agency (ATVP) declares Hisense's takeover bid successful

On July 2, 2018, Gorenje received by the Securities Market Agency (ATVP) the decision (No. 40201-5/2018-22) on the success of the takeover bid for GRVG shares announced by the company Hisense Luxembourg Home Appliance Holding on May 29 this year, and which lasted until June 26.

Thursday, 28th June 2018, Velenje After a successful takeover bid, Hisense will own 95-percent of Gorenje

Based on the takeover bid for Gorenje shares, announced by the company Hisense Luxembourg Home Appliance Holding on May 29, 2018, and which lasted until and including June 26, 2018, Hisense will acquire further 62.46 percent of all issued Gorenje shares. Thus, as Hisense stated today, the takeover bid was successful.

Gorenje Supervisory Board appointed a new Management Board that will manage the company in the next five years. The President and CEO Franjo Bobinac to whom the Supervisory Board entrusted late last year the task of assembling the Management Board, proposed six Management Board members. In addition to Bobinac, it shall include two incumbents – labour director Drago Bahun and Žiga Debeljak – and three new members in Stanka Pejanović, Tomaž Korošec, and Saša Marković.

Monday, 11th June 2018, Velenje Gorenje Group wins four regional accolades for the best innovations

The Chamber of Commerce of the Savinja and Šalek Region (SŠGZ) presented for the 19th consecutive year the awards for the best innovations in the SAŠA (Savinja and Šalek) region. This year, the entries included 11 enterprises with 15 innovations by a total of 133 innovators. The jury that rated the innovations for their inventiveness – originality, economic results, sustainability effects, and environmental aspects, presented two silver and two golden awards to Gorenje Group. Three top-rated innovations include two from Gorenje: the new generation of Asko premium washing machines and dryers, and the new generation of Gorenje free standing cookers. With them, Gorenje Group innovators will also vie for the title of the best innovation at the national level.

On June 8, 2018, Gorenje d.d. received from the company Panasonic Corporation a notification that the Panasonic Corporation accepted the takeover offer by the company Hisense Luxembourg Holding and will on such basis dispose all of its shares of the company Gorenje d.d.

Friday, 1st June 2018, Velenje Gorenje comes to terms on company collective labour agreement

The Management Board and employee representatives at Gorenje have aligned and reached an accord on a new company collective labour agreement that maintains the high level of labour rights protection for the employees while allowing the company long-term savings and solid foundations for further development. With the new collective labour agreement, we are replacing a more than a quarter-century-old agreement between the company and its employees, and we bring it up to date to be in tune with not only the new legislation, but also new market conditions.

Pursuant to Article 34 of the Takeovers Act (Official Journal RS, No. 79/06, as subsequently amended, "ZPre-1"), the Management Board of Gorenje hereby releases within the mandatory period of no more than 10 days since the announcement of the takeover bid, the following opinion regarding the contents of the takeover bid and the prospectus announced and released by the acquiring party, the company Hisense Luxembourg Home Appliance Holding. Gorenje Management Board finds that the goals specified by the Acquiring Party in its takeover bid are beneficial for Gorenje Group's future operations and allow its further development and growth in a fiercely competitive white goods industry.

In the first three months of this year, Gorenje Group generated revenue of EUR 296 million and profit of EUR 2.5 million. We generated over 83 percent of our total revenue in our core activity of Domestic Appliances, and we increased our revenue from sales of domestic appliances under our own brands by 4 percent. Friday, 23th February 2018, Velenje Gorenje Management Board response to the announced strike

On February 22, 2018, Gorenje Management Board was informed that the representative trade union SKEI Gorenje was planning a warning strike for March 14, 2018. The reason for the strike is that the Management Board terminated, effective as of February 1, 2018, the company collective labour agreement. While the Management Board respects the employees' right to strike, and we will enable the organizers to assert such rights pursuant to the relevant regulations, we find the strike entirely unnecessary and unwarranted. In the negotiations on the comprehensive revision of the collective labour agreement to date, we have made great progress, and the Management Board is willing to negotiate and seek a compromise.

Wednesday, 24th January 2018, Velenje, Slovenia Gorenje adopts resolution to issue commercial paper and starts the commercial paper offering

The company GORENJE d.d., Partizanska cesta 12, SI-3320 Velenje (hereinafter referred to as Gorenje d.d. or the Issuer or the Company), hereby informs the public that the Company Management Board adopted on January 24, 2018, a resolution to issue commercial paper, based on which the Company will issue commercial paper with a total face value of up to EUR 15,000,000.00, in denominations of EUR 1,000.00. The Issuer reserves the right to either increase or decrease the total face (nominal) value of the issue. The purpose of the issue of commercial paper is seasonal financing of operations, consistently with the cash flow dynamics within the year, and diversification of short-term financing sources. Interest rate on commercial paper is 1.90% p.a. The interest accrual period starts on February 1, 2018, and the principal of commercial paper shall be due for payment on December 21, 2018.

Gorenje, d.d., is planning a sixth issue of commercial papers, with start of interest accrual date February 1, 2018 and maturity date December 21, 2018. Gorenje will use the proceeds from the commercial papers issue for diversification of short-term financing, primarily for financing the seasonal operations, in accordance with the interim cash flow dynamics, and optimization of funding costs.

Friday, 12th January 2018, Velenje Gorenje's 2017 revenue the highest in five years, 10-percent growth of core activity budgeted for 2018

Gorenje Group accomplished its goal in terms of revenue in 2017, with the figure estimated at EUR 1.307 billion, which is nearly 4 percent more than in the year before. Contributing the most to such revenue growth were sales in the markets of Russia, Ukraine, the Netherlands, the Middle and Far East, the USA, Asia, and Australia. Operating profit reached EUR 21.7 million, and the Group's bottom line for the year was net profit of EUR 1.2 million. Performance in the year was considerably affected by numerous measures for mitigating the negative market conditions, particularly growth of raw and processed materials, which affected the profitability especially in the second half. In 2018, we are planning further growth of revenue and net profit. Consistently with our strategic policies, we shall continue to step up our sales in the markets beyond Europe, while consolidating our market shares in major European markets and increasing the shares of innovative and premium appliances.

Wednesday, 10th January 2018, Velenje Gorenje's response to Philip Sluiter's allegations at the Shareholders Assembly

During his speech at the Gorenje d.d. Shareholders Assembly, shareholder and former management member Philip Sluiter accused the Management Board and the President and CEO Franjo Bobinac of unlawful conduct and fraud (which is the exact English term he used) regarding the loan to the company Intersolar in 2008. Tuesday, 9th January 2018, Velenje Gorenje shareholders did not vote in favour of replacement of two Supervisory Board members at the extraordinary general meeting

At the 25th Shareholders Assembly of the company Gorenje d.d., the shareholders did not vote in favour of the proposal to replace the Gorenje Supervisory Board chairman Marko Voljč and Supervisory Board member Uroš Slavinec. Thus, the Supervisory Board shall continue its term of office, expiring in July this year, with the current line-up.
