Gorenje transformed to a limited liability company (d. o. o.)
On 11th March 2019, Gorenje received the resolution of the court register, Celje, on the entry of the change in the court register. With this court resolution, the resolutions of the 29th General Assembly of the company, from 7 February 2019, on the transformation from a joint stock company (d. d.) into a limited liability company were entered in the court register.

As of the date of registration of the reorganization into the court register the company was reorganised into a limited liability company with the following characteristics:

-      the company name: Gorenje gospodinjski aparati, d. o. o.,

-      the abbreviated name of the company: Gorenje, d. o. o.,

-      the registered seat of the company: Velenje,

-      the share capital of the company: EUR 101,415,882.14,

-      the business address of the company: Partizanska cesta 12, 3320 Velenje, Slovenia.

As of the date of registration of the reorganisation into the court register Articles of association of Gorenje (statute) ceased to apply and articles of association become valid. As from the reorganisation into a limited liability company, the Sole Shareholder became the holder of the sole business share in the amount of EUR 101,415,882.14.

As of the date of registration of the reorganisation into the court register the mandate of all of the members of the supervisory board ceased, namely of: Drago Krenker, Žan Zeba, Jurij Slemenik, Krešimir Martinjak, Yeguo Tang, Shaoqian Jia, Huizhong Dai, Caixia Chen, Yuling Gao, Xin Liu in Wenzhong Liu.

As of the date of registration of the reorganisation into the court register the mandate of all of the members of the management board ceased, namely of: Lan Lin, Chao Liu, Lu Hou, Anguo Yan, Changchun Sun, Saša Marković, Drago Bahun, Žiga Debeljak, Tomaž Korošec, Stanka Pejanović, Jianmin Han in Franc Bobinac.

As of the date of registration of the reorganisation into the court register Lan Lin and Chao Liu were appointed as the Managing Director; Franc Bobinac was appointed as the Managing Director and the Chairman of the Committee of Directors of the company Gorenje; Yeguo Tang, Shaoqian Jia and Žiga Debeljak were appointed as the Managing Director of the company Gorenje and Drago Bahun, was appointed as the Managing Director, who is a workers' representative.

Further members of the previous Management Board, i.e.  Stanka Pejanović, Tomaž Korošec, Hanson Han, Lu Hou, and Saša Marković will continue to participate in the management of the company, along with Boštjan Pečnik, former executive director for Cooking Program, as they were named executive vice presidents of the company and holders of procuration. The management will be responsible for the company’s current operations, i.e. production and business management, implementation of decisions adopted by the shareholder and the Committee of Directors, organising the implementation of business and investment plans, defining the company’s internal organisation, etc.
