The Supervisory Board approves capital increase by non-cash contributions
The Supervisory Board of Gorenje, d.d., approves the resolution adopted by the company Management Board based on the resolution of the 20th Shareholders Assembly dated August 23, 2013, to increase the company share capital by up to EUR 9,681,964.61 by issuing up to 2,320,186 ordinary freely transferable registered no-par value shares in exchange for non-cash contributions.
Only financial institutions that were company creditors as at the day of convocation of the 20th Shareholders Assembly may participate in the offering (capital increase by non-cash contributions). Gorenjska banka, d.d., expressed the interest to subscribe presumably 1,315,166 newly issued shares, of which Gorenje, d.d., informed the public on June 10, 2014.
Gorenje, d.d., will seek to increase its share capital up to the amount specified in the Shareholders Assembly resolution (EUR 9,681,964.61 or 2,320,186 newly issued shares).
This is the third capital increase/seasoned equity offering confirmed by Gorenje, d.d., shareholders at their Assembly held on August 23, 2013. The first capital increase, which also included the Panasonic Corporation, and the second capital increase that took place in Slovenia and in Poland and which also included existing shareholders, new investors, and employees, were successfully completed in 2013, resulting in the Company raising nearly EUR 27 million of fresh capital. The price of newly issued shares in all three offerings amounted to EUR 4.31 per share.
